New business venture for existing employee?

My friend is employed in a Free Zone company as IT Manager. He and his friends are planning to start a new IT support company on partnership basis. He wants a partnership agreement between partners and it to be registered in the court.
Is there any legal issues for him to be a partner in the new venture as he is already employed?

no there is no problem in that because anyone can work in a company and be a partner in any other company no mater what activities both companies do.

it is just like working in DAMAC and holding shares of EMAAR.
